1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the KiiBank platform (“KiiBank” or the “Platform”).

KiiBank is a digital technology platform that enables users to access financial and payment-related services provided by regulated financial institutions and authorised entities (“Service Providers”).

KiiBank is not a legal entity, bank, or regulated financial institution and does not itself provide financial services.

All financial services accessible through the Platform are provided exclusively by the applicable Service Provider, depending on your country of residence and the services offered.

By accessing or using the Platform, you agree to be bound by these Terms.

2. Service Provider and Contractual Relationship

Financial services made available through the Platform are provided by the relevant Service Provider applicable to your jurisdiction.

Prior to onboarding and account activation, you will be clearly informed of:

  • The identity of the Service Provider
  • The regulatory status of that entity
  • The applicable terms governing your relationship with that entity

You must expressly review and accept the identity and terms of the applicable Service Provider before your account is activated.

Your contractual relationship for financial services is solely with the disclosed Service Provider, and not with KiiBank.

KiiBank acts solely as a technology interface facilitating access to such services.

For the avoidance of doubt:

  • KiiBank does not enter into any financial services agreement with you
  • KiiBank does not act as a financial institution
  • KiiBank does not hold or control customer funds

3. Nature and Scope of Services

The Platform enables access to services which may include, depending on jurisdiction:

  • Payment initiation and transfers
  • Account services provided by regulated institutions
  • Bill payments and related financial services

All services are:

  • Provided exclusively by the Service Provider
  • Subject to the Service Provider’s terms
  • Governed by applicable local laws and regulatory requirements

Availability of services is restricted to jurisdictions where the relevant Service Provider is authorised or permitted to operate.

4. Account Opening and Eligibility

To access services, you must:

  • Meet the eligibility criteria set by the applicable Service Provider
  • Provide accurate, complete, and up-to-date information
  • Successfully complete all onboarding and verification procedures

The Service Provider reserves the right to:

  • Approve or decline any application
  • Apply conditions or restrictions
  • Request additional information at any time

No account will be activated until onboarding is fully completed and approved by the Service Provider.

5. Identity Verification and Compliance Obligations

The Service Provider is required to verify your identity and assess your risk profile in accordance with applicable Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), and regulatory requirements.

You agree to provide:

  • Valid identification documents
  • Personal and/or business information
  • Source of funds or source of wealth information where required
  • Any additional documentation requested

The Service Provider may:

  • Conduct ongoing due diligence and transaction monitoring
  • Perform sanctions screening at onboarding and on an ongoing basis
  • Apply Enhanced Due Diligence (EDD) for higher-risk transactions or jurisdictions

Failure to comply may result in:

  • Refusal of service
  • Account restrictions
  • Suspension or termination

6. Transaction Processing and Authorisation

All transactions initiated through the Platform are:

  • Executed by the Service Provider
  • Processed through regulated financial institutions and payment partners

You authorise the Service Provider to:

  • Execute payment instructions on your behalf
  • Process transactions in accordance with applicable rules

Transaction limits, execution times, and availability may vary depending on:

  • The Service Provider
  • The jurisdiction
  • The nature of the transaction

7. Safeguarding and Handling of Funds

KiiBank does not receive, hold, or control customer funds at any time.

All customer funds are:

  • Received, held, processed, and managed solely by the Service Provider or its regulated financial institution partners
  • Subject to applicable safeguarding and regulatory requirements

Where required, funds are held in segregated or safeguarded accounts in accordance with the regulatory obligations of the Service Provider.

You acknowledge that:

  • KiiBank has no control over customer funds
  • All safeguarding obligations rest solely with the Service Provider

8. Fees and Charges

Fees may apply depending on:

  • The Service Provider
  • The services used
  • The jurisdiction

All applicable fees will be disclosed prior to transaction execution and within the Service Provider’s terms.

You agree to pay all applicable fees as disclosed.

9. Security and User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Securing your device and access to the Platform
  • Monitoring your account activity

You must:

  • Notify us immediately of any unauthorised activity
  • Not share your credentials with third parties

You are liable for losses resulting from:

  • Negligence
  • Failure to safeguard your credentials

KiiBank remains responsible for maintaining the security and proper functioning of the Platform.

10. Prohibited Use

You agree not to use the Platform for:

  • Fraudulent activities
  • Money laundering or terrorist financing
  • Sanctions violations
  • Acting on behalf of undisclosed third parties
  • Any unlawful or prohibited activities

The Service Provider reserves the right to:

  • Investigate suspicious activity
  • Restrict or terminate access where necessary

11. Suspension and Termination

The Service Provider may suspend, restrict, or terminate your access where:

  • Required by law or regulation
  • Suspicious or fraudulent activity is detected
  • You breach these Terms or applicable laws

This may occur without prior notice where legally required.

12. Complaints and Dispute Resolution

If you have a complaint, you must contact the Service Provider using the contact details provided at onboarding.

The Service Provider will:

  • Acknowledge your complaint
  • Investigate and respond within applicable regulatory timeframes

Where applicable, you may have the right to escalate your complaint to:

  • A financial ombudsman service
  • A regulatory authority in the jurisdiction of the Service Provider

13. Data Protection and Privacy

Your personal data will be processed in accordance with applicable data protection laws.

The Service Provider acts as the data controller for customer data.

KiiBank may act as a data processor, supporting the delivery of services through the Platform.

Your data may be shared with:

  • Regulated financial institutions
  • Identity verification providers
  • Regulatory authorities where required by law

Cross-border data transfers may occur where necessary for service provision.

14. Communications

You consent to receive communications related to:

  • Account activity
  • Transactions
  • Regulatory updates

These may be delivered via:

  • Email
  • SMS
  • In-app notifications

15. Changes to Terms

These Terms may be updated from time to time.

You will be notified of material changes.

Continued use of the Platform constitutes acceptance of the updated Terms.

16. Limitation of Liability

KiiBank is not responsible for:

  • Financial services provided by the Service Provider
  • Acts or omissions of third-party financial institutions

KiiBank’s liability is limited to its role as a technology platform.

Nothing in these Terms excludes or limits liability where such exclusion is not permitted by law.

17. Relationship Between KiiBank and Service Providers

KiiBank does not act as an agent, representative, or intermediary of any Service Provider in a regulated capacity unless explicitly stated.

KiiBank provides technology services only and does not perform regulated financial activities.

18. Governing Law

Your relationship with the Service Provider is governed by the laws applicable to that entity’s jurisdiction.

19. Declaration

By using the Platform, you confirm that:

  • You understand that KiiBank is a technology platform
  • You are entering into a contractual relationship with the applicable Service Provider
  • You agree to comply with these Terms and applicable laws
